Terms of Service

These Terms of Service govern your access to and use of the website, ordering process, and advisory services offered by Wexora Circuit, an online telecom support and consulting practice based in Lexington, Kentucky. Please read them carefully before placing an order, because by engaging our services you agree to be bound by everything set out below.

1. Acceptance of These Terms

These Terms of Service (the "Terms") form a binding agreement between Wexora Circuit ("Wexora Circuit," "we," "us," or "our") and the business or individual accessing our website or purchasing our services ("you," "your," or the "Client"). By browsing this website, submitting an inquiry, placing an order, or accepting a deliverable from us, you confirm that you have read, understood, and agreed to these Terms in their entirety.

If you are entering into these Terms on behalf of a company, partnership, or other organization, you represent and warrant that you have the authority to bind that organization, and references to "you" in these Terms include that organization. If you do not agree with any part of these Terms, you must not use our website or purchase our services. Continued use of the website after any update to these Terms constitutes acceptance of the revised version.

2. Eligibility and Business Use

Our services are designed for, and offered exclusively to, small businesses, sole proprietors, and professionals acting in a commercial capacity. By ordering, you confirm that you are at least eighteen (18) years of age, that you are legally capable of entering into a binding contract, and that you are purchasing our services for business purposes rather than for personal, family, or household use.

We reserve the right to decline or cancel any order where we reasonably believe the purchaser does not meet these eligibility requirements, where the information provided at checkout appears inaccurate or incomplete, or where fulfilling the engagement would require us to act outside the advisory scope described in Section 3. If we cancel an order for eligibility reasons before work begins, any amounts already paid will be refunded in accordance with our Refund Policy.

3. Description of Services — Advisory Only

Wexora Circuit provides remote, documentation-based telecom support and consulting services for small businesses. Our current catalog includes Telecom Bill Review & Summary (from $49), Internet & Phone Plan Comparison Support (from $59), Business Communication Setup Checklist (from $75), Telecom Vendor Documentation Organization (from $89), and Remote Connectivity Process Advisory (from $99). All services are delivered remotely in the form of written summaries, digital checklists, organized documentation, and advisory recommendations.

It is essential that you understand what we are not. Wexora Circuit is not a telecommunications carrier and is not licensed as one. Specifically, we do not:

  • sell SIM cards, mobile plans, airtime, or any form of connectivity;
  • provide internet service or act as an internet service provider;
  • manage, configure, or operate call routing of any kind;
  • offer VoIP provider services or host voice traffic;
  • install, repair, or maintain telecom equipment or wiring; or
  • own, operate, or handle regulated communications infrastructure.

Every engagement is limited to analysis, comparison, organization, and written recommendations. Any decision to change vendors, sign contracts, adopt a plan, or implement a process rests solely with you, and any implementation work must be performed by you or by appropriately licensed third parties of your choosing.

4. Accounts and Client Responsibilities

Certain features of our website may allow you to create a customer account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and checkout and to keep that information updated throughout an engagement.

Because our work depends heavily on the documents and information you supply, you agree to provide invoices, contracts, vendor correspondence, and other requested materials in a timely manner and in legible, complete form. You are responsible for ensuring you have the right to share any materials you send us and for redacting information you do not wish us to see. Delays or gaps in the materials you provide may extend delivery timelines, and we are not responsible for conclusions that are inaccurate because the underlying materials were inaccurate or incomplete.

5. Ordering and Scheduling

Orders may be placed through this website's checkout or arranged by written request to our contact email. Each order becomes binding when we confirm it in writing, typically by an order confirmation email that summarizes the service purchased, the price, and the expected delivery window. For advisory engagements that involve scheduled working sessions, session times are confirmed by email and are subject to mutual availability.

We reserve the right to refuse or cancel an order prior to confirmation for any lawful reason, including capacity constraints, suspected fraud, or requests that fall outside our advisory scope. If you need to reschedule a confirmed advisory session, please notify us by email at least twenty-four (24) hours in advance; rescheduling and cancellation terms are described further in our Refund Policy.

6. Fees, Quotes, and Payment Terms

Prices displayed on this website are starting prices, indicated by the word "from," and reflect the base scope of each service. Engagements involving unusually large document volumes, multiple locations, several vendor accounts, or expedited timelines may be quoted at a higher fixed price before work begins. Any custom quote we issue is valid for fourteen (14) days unless the quote states otherwise, and no work commences until the quote is accepted in writing and payment terms are agreed.

Unless otherwise stated in an accepted quote or invoice, payment in full is due at the time of ordering. Where we agree to invoice a business client, invoices are payable within fourteen (14) days of the invoice date. All prices are stated in United States dollars and are exclusive of any applicable taxes, which will be added where required by law. We may suspend work on any engagement for which payment is overdue, and delivery timelines are paused during any such suspension.

7. Deliverables and Acceptance

Each service concludes with one or more written deliverables — a summary, comparison document, checklist, organized documentation set, or advisory memorandum — delivered electronically to the email address associated with your order. Estimated delivery windows are provided at confirmation and run from the date we receive both payment and all requested client materials.

You should review each deliverable promptly upon receipt. If you believe a deliverable does not conform to the agreed scope, you must notify us in writing within seven (7) days of delivery, describing the nonconformity in reasonable detail. We will then correct the deliverable or explain why it conforms. If we receive no such notice within the seven-day window, the deliverable is deemed accepted. Acceptance does not affect any revision rights described in our Service Agreement.

8. Acceptable Use

You agree to use our website and services only for lawful business purposes. You must not use our services to further any fraudulent scheme, to misrepresent your identity or authority, to obtain analysis of documents you have no right to possess, or to harass, defame, or infringe the rights of any third party. You must not attempt to interfere with the operation of the website, probe or test its security, scrape its content in bulk, or introduce malicious code.

We may suspend or terminate access to the website or an active engagement, without refund of amounts attributable to work already performed, if we reasonably determine that you have violated this Section. Where practical, we will notify you of the concern and give you an opportunity to respond before taking action.

9. Confidentiality of Client Documents

We understand that telecom bills, vendor contracts, and internal process documents can reveal sensitive commercial information. We treat all non-public materials you provide during an engagement as confidential. We use them solely to perform the purchased service, restrict access to personnel who need them for that purpose, and do not sell, rent, or disclose them to third parties except where disclosure is required by law or expressly authorized by you in writing.

Upon your written request following completion of an engagement, we will delete the working copies of documents you supplied, except for records we are required to retain for accounting, tax, or legal compliance purposes. Our confidentiality obligations survive the completion or termination of any engagement and are supplemented by the confidentiality provisions of our Service Agreement.

10. Intellectual Property

All content on this website — including text, page designs, graphics, checklists, templates, and service descriptions — is owned by Wexora Circuit or its licensors and is protected by applicable intellectual property laws. Except for the license to use deliverables described below, nothing in these Terms transfers any ownership of our intellectual property to you.

Upon full payment for an engagement, you receive a perpetual, non-exclusive, non-transferable license to use the deliverables we prepare for you for your internal business purposes. Our underlying methodologies, analysis frameworks, template structures, and know-how remain our property and may be reused across client engagements. The detailed allocation of rights, including your ownership of your own source materials, is set out in our separate Intellectual Property Policy, which forms part of the overall agreement between us.

11. Disclaimers and Limitation of Liability

Our services consist of professional advisory opinions and organized documentation. They are not legal, tax, engineering, or regulatory compliance advice, and they are not guarantees of savings, vendor performance, or any particular commercial outcome. Except as expressly stated in these Terms, our services are provided on an "as is" basis, and we disclaim all implied warranties to the fullest extent permitted by law. The complete statement of disclaimers, exclusions, and the cap on our aggregate liability appears in our separate Disclaimer and Limitation of Liability documentation and in the Service Agreement, each of which is incorporated into these Terms by reference.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for willful misconduct.

12. Termination

You may terminate an active engagement at any time by written notice to our contact email. We may terminate an engagement by written notice if you materially breach these Terms and fail to cure the breach within ten (10) days of being notified, if you fail to provide the cooperation or materials needed for us to perform, or if continuing the engagement would require us to act unlawfully or outside our advisory scope.

Upon termination, you remain responsible for fees attributable to work performed through the effective date of termination, and any refund entitlement is determined under our Refund Policy. Sections of these Terms that by their nature should survive — including confidentiality, intellectual property, disclaimers, limitation of liability, and governing law — survive termination.

13. Governing Law

These Terms, and any dispute or claim arising out of or in connection with them or our services, are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws principles. Subject to any dispute resolution provisions in our Service Agreement, the state and federal courts located in Fayette County, Kentucky shall have exclusive jurisdiction over any such dispute, and each party consents to the personal jurisdiction of those courts.

Before commencing any formal proceeding, both parties agree to attempt in good faith to resolve the dispute through direct written negotiation for a period of at least thirty (30) days.

14. Changes, Severability, and Entire Agreement

We may revise these Terms from time to time to reflect changes in our services, business practices, or legal requirements. When we do, we will update the "Last Updated" date shown at the top of this page and publish the revised version on this website. Material changes will not apply retroactively to engagements already confirmed; those engagements remain governed by the version of the Terms in effect at the time of confirmation. Your continued use of the website or purchase of services after a revision takes effect constitutes acceptance of the revised Terms. If you do not agree to a revision, your sole remedy is to stop using the website and refrain from placing new orders.

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision, and no waiver is effective unless made in writing and signed by us.

These Terms, together with our Service Agreement, Refund Policy, Privacy Policy, Intellectual Property Policy, and any accepted quote or order confirmation, constitute the entire agreement between you and Wexora Circuit concerning our services and supersede all prior discussions, proposals, and understandings, whether written or oral. In the event of a conflict between these Terms and a signed Service Agreement or accepted quote, the signed Service Agreement or accepted quote controls for that engagement.
